SCOPE AND ACEPTANCE<\/h4><p>These conditions govern all sales made by Silcotech S.L. The placement of any order implies full acceptance of these conditions by the customer.<\/p><h4>2. QUALITY, SPECIFICATIONS AND CLAIMS\u00a0<\/h4><p>Silcotech S.L. guarantees that the supplied products comply with the agreed specifications.<br \/>Quality levels shall be measured in parts per million (PPM), in accordance with the agreements established between the parties. By default, the customer shall accept 80 PPM. Occasional deviations within industry-acceptable levels shall not be considered a contractual breach.<br \/>The customer shall inspect the products supplied by Silcotech S.L. upon receipt. Any claim must be notified in writing within a maximum period of 30 days from receipt, providing the corresponding evidence. Claims regarding products that have already been processed, used or modified will not be accepted.<\/p><h4>3. DELIVERY, LEAD TIMES AND TRANSFER OF RISK\u00a0<\/h4><p>Unless otherwise agreed, deliveries shall be made under Incoterm EXW, with risk transferring to the customer at the point defined by said Incoterm.<br \/>Delivery times are estimated and non-binding. Silcotech S.L. shall not be liable for delays caused by circumstances beyond its control, including force majeure events such as supply disruptions, power failures, strikes or logistical incidents.<br \/>The customer undertakes to provide a minimum firm forecast of 6 weeks, necessary to ensure proper raw material procurement and production planning.<\/p><h4>4. PRICES, INVOCING AND PAYMENT TERMS\u00a0<\/h4><p>Prices are based on current market conditions. In the event of an increase in raw material costs exceeding 10%, Silcotech S.L. reserves the right to revise prices proportionally, subject to prior notice to the customer.<br \/>Quoted prices are strictly linked to the agreed minimum annual and\/or per-order quantities. Any deviation from such volumes may result in a price revision or the application of additional costs, including tool start-up costs.<br \/>Failure to comply with payment terms shall entitle Silcotech S.L. to suspend ongoing deliveries, unilaterally terminate the contract and claim outstanding amounts, as well as any related costs.<br \/>The customer may not offset, withhold or deduct any amounts owed to Silcotech S.L. without prior written consent.<\/p><h4>5. TOOLING, TOOLS AND LIFETIME\u00a0<\/h4><p>Unless otherwise agreed, tool bases shall remain the property of Silcotech S.L.<br \/>The tool design, including but not limited to the injection point, parting line, ejection system and other technical features, shall be exclusively defined by Silcotech S.L.<br \/>Silcotech S.L. guarantees up to 1,000,000 cycles per tool under normal conditions of use and maintenance. Beyond this limit, any repair, maintenance or replacement shall be subject to agreement between the parties.<\/p><h4>6. LIMITATION OF LIABILITY\u00a0<\/h4><p>Silcotech S.L. shall not be liable for indirect damages, including, without limitation, loss of profit, loss of production or line stoppages.<br \/>In any case, the maximum liability that may be claimed from Silcotech S.L., under any cause and in relation to any agreement between the parties, shall be limited to 50% of the annual sales value of the affected supplied part number.<\/p><h4>7. CONFIDENTIALITY AND CHANGES\u00a0<\/h4><p>Both parties undertake to maintain the confidentiality of all technical and commercial information exchanged.<br \/>All drawings, technical documents and specifications related to the tool shall remain the property of Silcotech S.L. and may not be reproduced, used or shared without express authorization.<\/p><h4>8. APPLICABLE LAW AND JURISDICTION\u00a0<\/h4><p>These conditions shall be governed by Spanish law.
